Eligibility: The Amazon UnBoxed 2025 Giveaway (the “Sweepstakes”) is open only to legal U.S. businesses physically present at Amazon UnBoxed 2025 and acting through an authorized representative 18 or older who scan a QR code and complete the information form described below. The Sweepstakes is open to legal U.S. businesses only acting through an authorized representative 18 or older. For the purposes of these Sweepstakes, “sanctioned countries” refers to countries subject to sanctions by the U.S. Department of the Treasury’s Office of Foreign Asset Control (OFAC), including Cuba, Iran, North Korea, Russia, and the Ukrainian regions of Crimea, Donetsk, and Luhansk. Employees of Smartly.io Solutions Inc. (the “Company”) their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers and their immediate family members and/or those living in the same household of each are not eligible to participate in the Sweepstakes. The Sweepstakes is subject to all applicable federal, state and local laws and regulations and is void where prohibited.
Agreement to Rules: By participating, you agree to be fully unconditionally bound by these Official Rules, and you represent and warrant that you meet the eligibility requirements set forth herein. Any and all decisions with respect to the Sweepstakes, including but not limited to, participant eligibility, prize fulfillment, winner selection, and the interpretation of these Official Rules are at the sole and absolute discretion of the Company. By participating in the Sweepstakes, each entrant acknowledges and agrees to be bound by the Company's decisions, which shall be final and binding in all matters related to the Sweepstakes.
Sweepstakes Period: The sweepstakes begins on November 11, 2025 and ends on November 12, 2025. Entries will only be accepted electronically by the method specified in Section 4.
How to Enter: Attendees of Amazon UnBoxed 2025 may scan a QR code at the Smartly booth prompting them to complete a short information form. To enter the Sweepstakes, recipients must complete the information form following the scan of the QR code. Limit one (1) entry per business, regardless of the method of entry. Any attempt to obtain more than the stated number of entries by using multiple identities, registrations, or any other methods will void all of that business’s entries.
Prize: One winner will receive a Smartly virtual workshop with Smartly’s SparkWorks team The total approximate retail value of the combined prizes is $10,000 USD.
Prize Details and Acceptance. You are not guaranteed to win a prize and your chance of winning is dependent on the total number of eligible entries received. The specifics of the prize shall be solely determined by the Company. No cash or other prize substitution permitted except at Company's discretion. The prize is nontransferable. Unless specified herein, any and all prize-related expenses, including without limitation visa or travel-related expenses and any and all federal, state, and local taxes shall be the sole responsibility of the winner. Acceptance of prize constitutes permission for the Company to use the winner's name, image, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law. If requested by the Company, the winner must provide a W-9 form and execute the Company’s affidavit of eligibility and release of liability/publicity release. The Company is not liable for the use, misuse or non-use of the prize.
Odds: The odds of winning depend on the number of eligible entries received.
Winner selection and notification: One (1) winner of the Sweepstakes will be selected in a random drawing conducted on or around the conclusion of the Amazon UnBoxed event under the supervision of the Company. The Winner will be notified via e-mail and/or the telephone number used to enter the Sweepstakes within two (2) days following the winner selection. Company shall have no liability for a winner’s failure to receive notices due to winners’ spam, junk e-mail or other privacy/security settings. If the selected winner cannot be contacted, is ineligible, or otherwise fails to claim the prize within forty-eight (48) hours from the time award notification was sent, or fails to timely return a completed and executed declaration and releases as required, the prize may be forfeited and an alternate winner selected. The receipt by winner of the prize offered in this Sweepstakes is conditioned upon compliance with any and all federal and state laws and regulations. The Company disclaims all liability for the failure of any entrant to receive the Sweepstakes entry email, regardless of the reason for such failure, including but not limited to, technical or human error, computer malfunction, email or network unavailability, or the Company's failure to send the email for any reason whatsoever. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT COMPANY’S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE SWEEPSTAKES AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
Rights Granted by you: By entering these Sweepstakes you understand that Company, anyone acting on behalf of Company, or its respective licensees, successors and assigns will have the right, where permitted by law, without any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the World, your entry, including, without limitation, the entry and winner's name, portrait, picture, voice, likeness, image or statements about the Sweepstakes, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation.
Terms: Company reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Sweepstakes should (in its sole discretion) a virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Sweepstakes. In such a case, Company may select the recipients from all eligible entries received prior to and/or after (if appropriate) the action taken by Company. Company reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or website or violates these Terms & Conditions.
Reservation of Rights. Company has the right, in its sole discretion, to maintain the integrity of the Sweepstakes. Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the sweepstakes may be a violation of criminal and civil laws and should such an attempt be made, Company reserves the right to seek damages from any such person to the fullest extent permitted by law.
Force Majeure and Company Cancellation. The Company reserves the absolute right, in its sole and exclusive discretion, to cancel or terminate the Sweepstakes or the ADVANCE 2026 event at any time for any reason or no reason, without notice or liability. In addition to this right, the Company shall not be responsible for any failure to perform its obligations under these Official Rules if such failure is caused by an event beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, civil unrest, fire, flood, epidemic, pandemic, public health crisis, or any other event of force majeure. By participating, the winner and all entrants acknowledge and agree that should the event or the Sweepstakes be cancelled, they shall have no right to any compensation or recourse whatsoever, and hereby irrevocably waive any and all claims against the Company related to such cancellation.
Limitation of Liability: By entering you agree to release and hold harmless Company and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant's participation in the Sweepstakes and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process; (v) electronic or human error which may occur in the administration of the Sweepstakes or the processing of entries.
Indemnification. By accepting the prize, the winner agrees to indemnify, defend, and hold harmless the Company and its subsidiaries, affiliates, partners, and their respective officers, directors, employees, and agents from any and all claims, demands, damages, costs, or causes of action of any kind or nature whatsoever, arising from or in any way related to the winner's participation in the Sweepstakes or the use or misuse of the prize.
Disputes/Mandatory Arbitration: THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF USA AND NEW YORK, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. In the event of any controversy, claim or dispute between an entrant and the Company arising out of or relating to the Sweepstakes or the breach, termination, enforcement, interpretation, conscionability or validity thereof, including any determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration. Arbitration proceedings shall be administered by the American Arbitration Association (“AAA”) and may take place via the Internet and/or telephonically in accordance with the rules of the chosen arbitration service provider. The arbitrator shall be neutral and independent and shall comply with the AAA code of ethics. The award rendered by the Arbitrator shall be final, binding on all parties, but subject to review in accordance with applicable statutes, rules and regulations governing arbitration awards. Judgment on the award made by the arbitrator may be entered in any court having jurisdiction over the parties. If either party fails to comply with the arbitrator's award, the injured party may petition the circuit court for enforcement. The parties agree that either party may bring claims against the other only in his/her or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Further, the parties agree that the arbitrator may not consolidate proceedings of more than one person's claims, and may not otherwise preside over any form of representative or class proceeding. Payment of all filing, administration and arbitrator fees will be governed by the AAA’s rules. In the event a party fails to proceed with arbitration, unsuccessfully challenges the arbitrator's award, or fails to comply with the arbitrator's award, the other party is entitled to costs of suit, including a reasonable attorney's fee for having to compel arbitration or defend or enforce the award. Binding Arbitration means that both parties give up the right to a trial by a jury. It also means that both parties give up the right to appeal from the arbitrator’s ruling except for a narrow range of issues that can or may be appealed. It also means that discovery may be severely limited by the arbitrator. This section and the arbitration requirement shall survive any termination.
Company Determination Final. By entering the Sweepstakes, you acknowledge and agree that the Company shall be the sole and exclusive decision maker with respect to the winner, entries, whether any replacement gifts may be awarded, eligibility of the initial selected winner(s), and any other matters with respect to the Sweepstakes.
Privacy Policy/Use of Personal Data: Submission of contact information in connection with the entry to the Sweepstakes (whether or not required), including, without limitation, mailing address, phone number, and/or e-mail address, during entry constitutes permission for Company to use entrant’s personal information in a manner consistent with Company’s Privacy Policy (available by visiting https://www.smartly.io/privacy-policy.)
